Terms of Service

Please read these Terms of Service carefully before using OnlyStonks. By accessing or using our Service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing, downloading, installing, or using OnlyStonks (the “Service”), including through our Telegram bot (@onlystonks_live_bot), Discord bot (ID 1465030288659710235), web portal (portal.onlystonks.xyz), or any other supported platform, you (“User,” “you,” or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes where required by applicable law. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Description of Service

OnlyStonks is a prediction market trading service that operates through multiple platforms: our Telegram bot (@onlystonks_live_bot), Discord bot (ID 1465030288659710235), and web portal (portal.onlystonks.xyz). The Service enables users to:

• Browse and interact with prediction markets provided through dFlow’s on-chain prediction market infrastructure
• Execute trades (buy/sell positions) on binary outcome markets (YES/NO)
• Connect external cryptocurrency wallets to facilitate transactions
• View portfolio positions and profit/loss calculations

The Service currently supports dFlow-connected markets. OnlyStonks may add support for additional protocols (such as Polymarket) in the future.

OnlyStonks is a non-custodial service. We never have access to your private keys. OnlyStonks acts solely as a software interface and conduit to third-party blockchain networks and prediction market protocols. OnlyStonks is NOT a broker, financial institution, custodian, exchange, money transmitter, or financial service provider.

3. Kalshi Integration and dFlow Infrastructure

OnlyStonks integrates with KalshiEX, LLC (“Kalshi”), a U.S. Commodity Futures Trading Commission (“CFTC”) designated contract market (“DCM”), via dFlow’s on-chain prediction market infrastructure.

3.1 OnlyStonks’s Kalshi Membership

OnlyStonks (not the end user) maintains membership with Kalshi. You are not a Kalshi member by virtue of using OnlyStonks. OnlyStonks accesses Kalshi markets through dFlow’s API and on-chain infrastructure.

3.2 How Trading Works

When you execute a trade through OnlyStonks:

• dFlow crafts a Solana transaction based on your requested trade
• You review and sign the transaction in your connected wallet
• The signed transaction is broadcast to the Solana blockchain
• Positions are represented as fungible tokens on-chain
• Collateral is locked in dFlow’s on-chain program
• Settlement occurs via dFlow-controlled oracle updates that reflect Kalshi market resolutions

3.3 User Identification and Compliance

By using the Service, you acknowledge and agree that:

• You must be identifiable to Kalshi through OnlyStonks’s integration with dFlow
• You agree to provide identifying information as requested by OnlyStonks for compliance purposes
• OnlyStonks may share your information with Kalshi and/or dFlow as required for regulatory compliance, identity verification, or legal obligations
• You will cooperate with any requests for information within five (5) business days

4. Non-Affiliation Disclaimer

OnlyStonks is an independent service and is NOT owned, controlled, or endorsed by Telegram, Discord, Solana Foundation, or Kalshi.

OnlyStonks integrates with dFlow via API access to provide prediction market functionality. This technical integration does not imply any ownership, control, partnership, or endorsement by dFlow. Any trademarks, logos, or brand names displayed are the property of their respective owners. OnlyStonks’s integration with these services does not imply any endorsement, sponsorship, or official relationship.

OnlyStonks is not liable for any potential financial losses you may incur during or as a result of engagements with the third-party services accessible through OnlyStonks. You are solely liable for any engagements initiated on or through the Service.

5. Eligibility and User Representations

By using the Service, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater
• You have the legal capacity to enter into binding agreements
• You are not on any sanctions list including the U.S. Treasury Department’s Specially Designated Nationals List, the U.S. Commerce Department’s Denied Persons List, or similar lists maintained by other governmental authorities
• Your use of the Service complies with all applicable local, state, national, and international laws and regulations in your jurisdiction
• You understand that prediction markets and cryptocurrency trading may be regulated, restricted, or prohibited in your jurisdiction
• You are solely responsible for determining whether your use of the Service is legal in your jurisdiction
• You are and will be in compliance with all applicable laws, including those related to prediction markets and cryptocurrency

5.1 Restricted Jurisdictions

The Service is prohibited and geoblocked in the United States of America.

You are also prohibited from accessing, using, or trading on the Service if you are:

• Located in, domiciled in, or organized under the laws of any jurisdiction subject to comprehensive U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions)
• A person or entity on the U.S. Treasury Department’s Specially Designated Nationals List, the U.S. Commerce Department’s Denied Persons List, or similar sanctions lists
• Otherwise prohibited from accessing U.S.-regulated financial services

OnlyStonks may update restricted jurisdictions or implement additional geoblocking measures at any time without prior notice.

6. No Financial, Investment, or Legal Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TRADING, TAX, OR LEGAL ADVICE.

All information, data, market prices, charts, analytics, and any other content provided through the Service is for informational purposes only and should not be construed as financial advice, investment advice, trading advice, or any other type of advice.

You acknowledge and agree that:

• You are solely responsible for conducting your own research and due diligence before making any trading decisions
• Past performance of any market, asset, or trading strategy does not guarantee future results
• You should consult with qualified professionals (financial advisors, tax advisors, legal counsel) before engaging in any trading activities
• OnlyStonks makes no representations or warranties regarding the accuracy, completeness, or timeliness of any information provided

7. No Guarantee of Profits

WE MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT POTENTIAL PROFITS OR LOSSES FROM USING THE SERVICE.

• There is no guarantee that you will make any money using the Service
• Past performance, including historical market data or previous trades, does not guarantee future results
• Any examples of potential earnings or performance are for illustrative purposes only
• Market conditions can change rapidly and unpredictably

8. Trade at Your Own Risk

ALL TRADING AND INVESTMENT DECISIONS ARE YOUR SOLE RESPONSIBILITY.

You acknowledge that:

• You must conduct your own research and analysis before making any trading decisions
• You should never trade with funds you cannot afford to lose
• OnlyStonks does not recommend any particular trades, markets, or strategies
• You accept full responsibility for the consequences of your trading activities
• No one at OnlyStonks is responsible for your trading decisions or outcomes

9. Risk Acknowledgment and Assumption of Risk

PREDICTION MARKETS AND CRYPTOCURRENCY TRADING INVOLVE SUBSTANTIAL RISK OF LOSS AND ARE NOT SUITABLE FOR ALL INDIVIDUALS.

By using the Service, you expressly acknowledge and assume the following risks:

9.1 Trading and Financial Risks

• Total Loss of Funds: You may lose some or all of the funds you use for trading. Only trade with funds you can afford to lose entirely.
• Market Volatility: Prediction market prices can be extremely volatile and may change dramatically in short periods.
• Liquidity Risk: You may not be able to sell or exit positions at desired prices due to market conditions.
• Slippage: Actual execution prices may differ from quoted prices due to market movements.
• Resolution Risk: Market settlement is determined by dFlow-controlled oracle updates that reflect Kalshi market resolutions. These updates may be delayed, disputed, or resolved contrary to your expectations.

9.2 Technology and Security Risks

• Smart Contract Risks: Blockchain protocols and smart contracts may contain bugs, vulnerabilities, or exploits that could result in loss of funds.
• Network Risks: Blockchain networks may experience congestion, delays, forks, or failures affecting transaction execution.
• Cybersecurity Risks: Despite security measures, systems may be vulnerable to hacking, phishing, malware, or other attacks.
• Service Interruption: The Service may be unavailable, interrupted, or degraded due to maintenance, technical issues, third-party platform outages, or other factors.

9.3 Regulatory and Legal Risks

• Regulatory Uncertainty: Laws and regulations regarding prediction markets, cryptocurrency, and related activities are evolving and may change.
• Enforcement Risk: Regulatory actions may affect the availability, functionality, or legality of the Service or underlying protocols.
• Tax Obligations: You are solely responsible for determining and fulfilling any tax obligations arising from your trading activities.

9.4 Data Reliability Risks

• Data Accuracy: Market data, prices, and analytics displayed through the Service may contain errors, delays, or omissions
• Third-Party Data: Data sourced from third-party platforms and blockchains may be unreliable, incomplete, or incorrect
• Calculation Errors: Profit/loss calculations, portfolio values, and other analytics are provided for informational purposes only and may contain inaccuracies
• Experimental Features: Some features, algorithms, and analytics provided by the Service are experimental in nature and may produce incorrect results
• No Verification: OnlyStonks does not independently verify the accuracy of data received from third-party sources

10. Wallet Connection and Non-Custodial Model

OnlyStonks is a fully non-custodial service. We never store, access, or control your private keys.

10.1 Wallet Connection

• To use the Service, you must connect an external wallet that you own and control (such as Phantom or any compatible Solana wallet)
• OnlyStonks only stores your wallet’s public address to associate it with your Telegram account
• Your private keys remain exclusively in your wallet application and are never transmitted to or stored by OnlyStonks

10.2 Transaction Signing

• When you initiate a trade or transaction through OnlyStonks, we send a transaction request to your connected wallet
• You must review and approve each transaction in your wallet application before it is executed
• OnlyStonks cannot execute any transaction without your explicit approval in your wallet
• You are solely responsible for reviewing transaction details before signing

10.3 Your Responsibilities

• You are solely responsible for the security of your wallet and private keys
• You are responsible for maintaining secure backups of your wallet recovery phrase
• You are responsible for maintaining the security of your Telegram account through which you access the Service
• You are responsible for all activities that occur through your connected wallet
• OnlyStonks is not responsible for any losses resulting from compromised wallets, lost private keys, or unauthorized access to your wallet

10.4 Non-Custodial Acknowledgment

You acknowledge and understand that:

• OnlyStonks never has access to your private keys — we cannot move, transfer, or access your funds without your explicit transaction approval
• You maintain full custody and control of your wallet at all times
• If you lose access to your wallet or private keys, OnlyStonks cannot help you recover your funds
• You can disconnect your wallet from OnlyStonks at any time, and your funds remain fully under your control
• OnlyStonks is not a custodian and does not provide custodial services

10.5 Platform Account Security

If your Telegram or Discord account is compromised, an attacker could use OnlyStonks to send transaction requests to your wallet. However, no transaction can be executed without your explicit signature in your wallet application. You are responsible for securing your Telegram and Discord accounts and promptly revoking access if you suspect unauthorized use.

11. Third-Party Services and Protocols

The Service interacts with and relies upon various third-party services, protocols, and platforms including but not limited to:

• Telegram: Communication platform through which the Service operates
• Solana blockchain: The underlying blockchain network for transactions
• dFlow: Prediction market protocol and API providing market data and trade execution infrastructure
• Token programs and DEXs: Decentralized exchanges and token swap protocols for collateral and position management

Future support may include additional protocols such as Polymarket.

You acknowledge and agree that:

• OnlyStonks has no control over these third-party services and is not responsible for their availability, accuracy, security, or functionality
• Third-party services have their own terms of service and privacy policies which you are bound by
• OnlyStonks is not liable for any losses or damages resulting from third-party service failures, changes, or discontinuation
• Your trades are executed on third-party protocols, not OnlyStonks’s infrastructure

12. Fees

OnlyStonks currently does not charge a service fee for using the Service.

However, you acknowledge and agree that you are responsible for paying:

• Network Fees: Solana blockchain transaction fees apply to all transactions
• Protocol Fees: dFlow and other third-party protocols may charge their own fees for trade execution and settlement

OnlyStonks reserves the right to introduce or modify fees in the future. If OnlyStonks introduces fees, we will update these Terms and/or present a fee schedule to you before such fees apply. All fees, once charged, are final and non-refundable.

13. User Obligations

By using the Service, you agree to:

• Protect Your Credentials: Maintain the security of your Telegram account and your connected wallet. Never share access credentials with others.
• Use Lawfully: Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
• Conduct Research: Perform your own due diligence and research before making any trading decisions
• Comply with Regulations: Ensure your use of the Service complies with all local, state, national, and international regulations applicable to you
• Report Issues: Promptly report any security vulnerabilities, bugs, or suspicious activity you discover
• Respect Intellectual Property: Not redistribute, reverse engineer, or commercially exploit any proprietary data or features of the Service
• Accept Responsibility: Take full responsibility for all activities conducted through your account

14. Prohibited Activities

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in money laundering, terrorist financing, or other financial crimes
• Manipulate markets, engage in wash trading, or commit fraud
• Interfere with or disrupt the Service or its underlying systems
• Attempt to gain unauthorized access to any systems or accounts
• Use bots, scripts, or automated systems to interact with the Service (except as the Service itself provides)
• Circumvent any geographic restrictions or access controls
• Use the Service on behalf of any third party without authorization
• Redistribute, resell, or commercially exploit market data or analytics obtained through the Service
• Attempt to reverse engineer, decompile, or derive source code from the Service
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity

15. Relationship of the Parties

OnlyStonks is not your broker, intermediary, agent, or advisor and has no fiduciary relationship or obligation to you in your use of the Service.

OnlyStonks does not provide investment, tax, or legal advice, and you are solely responsible for any transaction, investment, strategy, decision, or other act that you make when using the Service. No information or content provided through the Service creates any advisory, fiduciary, or professional relationship between you and OnlyStonks.

16. Disclaimers and Limitation of Liability

16.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

To the maximum extent permitted by applicable law, OnlyStonks disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties regarding accuracy, reliability, completeness, or timeliness of any data or information
• Warranties regarding uninterrupted, secure, or error-free operation
• Warranties regarding the results of using the Service

16.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONLYSTONKS, ITS OPERATORS, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages
• Any loss of profits, revenue, data, goodwill, or other intangible losses
• Any trading losses, failed transactions, or unfavorable market outcomes
• Any unauthorized access to or alteration of your data or wallet
• Any damages resulting from third-party services, protocols, or platforms
• Any damages resulting from force majeure events, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials

IN ANY CASE, THE TOTAL LIABILITY OF ONLYSTONKS FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID TO ONLYSTONKS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE U.S. DOLLAR ($1.00 USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless OnlyStonks, its operators, affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your violation of any third-party rights
• Any trading activities conducted through your account
• Your negligence or misconduct

18. Termination

We may, in our sole discretion, immediately terminate, suspend, or limit your access to the Service without prior notice or liability for any reason, including but not limited to:

• Violation of these Terms
• Suspected fraudulent, abusive, or illegal activity
• Requests from law enforcement or government agencies
• Extended periods of inactivity
• Technical or security issues
• Discontinuation of the Service

Upon termination, your right to use the Service ceases immediately. Your wallet and funds remain fully under your control as OnlyStonks is non-custodial. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to disclaimers, limitations of liability, and indemnification.

19. No Refunds

ALL TRANSACTIONS ARE FINAL. NO REFUNDS WILL BE ISSUED FOR ANY REASON.

This includes but is not limited to: trading losses, failed transactions, market resolutions contrary to your position, fees paid, or funds deposited to your wallet.

20. Intellectual Property

The Service, including its design, features, and content, is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

21. Market Maker Disclosure

Kalshi-connected markets accessed through OnlyStonks may be subject to market maker programs. You acknowledge that:

• Market makers may participate in Kalshi markets and receive benefits including fee discounts, rebates, or revenue sharing
• Market makers may price quotes differently than other market participants due to these benefits
• Market makers may have access to sophisticated risk management tools and greater exchange throughput
• These tools and benefits may give market makers advantages in pricing and execution
• Liquidity and pricing conditions may vary depending on market maker activity

22. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law provisions.

22.1 Market Outcome and Settlement Disputes

Disputes related to market outcomes, settlement, or resolution of Kalshi-connected markets will be handled through Kalshi’s dispute procedures as applicable to OnlyStonks’s Kalshi membership. You acknowledge that OnlyStonks’s ability to resolve such disputes is limited by Kalshi’s procedures and determinations.

22.2 OnlyStonks Service Disputes

Disputes related to OnlyStonks’s software, bot behavior, or service operation (not including market outcomes or settlement) shall be governed by New York law and resolved in the courts of the State of New York.

22.3 Informal Resolution

Before initiating any formal dispute resolution proceedings, you agree to first contact us and attempt to resolve any dispute informally for a period of at least sixty (60) days. During this period, we will attempt in good faith to resolve the dispute through negotiation. Most disputes can be resolved this way.

22.4 Jurisdiction

If a dispute cannot be resolved informally within sixty (60) days, any dispute arising out of or relating to these Terms or the Service (excluding market outcome disputes subject to Section 22.1) may be brought in the courts of competent jurisdiction in the State of New York. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such disputes.

22.5 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

22.6 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

23. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the original provision.

24. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OnlyStonks regarding the Service and supersede all prior agreements, communications, and understandings.
